Please read these Terms of Use ("Terms") carefully before using blountcapital.com (the "Site"), operated by Blount Capital Consulting LLC ("BCC," "we," or "our"). By accessing or using the Site, you agree to be bound by these Terms and BCC's Privacy Policy and Website Disclaimer, each incorporated herein by reference. If you do not agree to these Terms, do not access or use the Site.

1. PERMITTED USE

The Site is made available for lawful, personal, non-commercial use to learn about BCC's advisory services. You may not use the Site in any manner that:

• violates any applicable federal, state, or local law or regulation;
• infringes BCC’s or any third party’s intellectual property or other proprietary rights;
• interferes with, disrupts, or imposes an unreasonable or disproportionate load on the Site or its infrastructure; or
• involves the deployment of automated scripts, scrapers, bots, crawlers, or similar tools to access, index, or extract content from the Site without BCC's prior written consent.

2. TERMINATION OF ACCESS

BCC may restrict, suspend, or terminate your access to the Site at any time, without notice, for any other reason.

3. INTELLECTUAL PROPERTY

All content on the Site — including without limitation text, graphics, photographs, logos, trade names, service marks, and layout — is the exclusive property of BCC or its licensors and is protected by applicable U.S. and international copyright, trademark, and other intellectual property laws. No license, right, or interest is granted to you, expressly or by implication, to use any BCC intellectual property. You may not reproduce, distribute, modify, publicly display, or create derivative works from any Site content without BCC's prior written permission.

4. NO CLIENT OR ADVISORY RELATIONSHIP

Your use of the Site does not create a consulting, advisory, or contractual relationship between you and BCC. BCC has no obligation to provide services to any party based solely on that party's use of or contact through the Site.

5. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. BCC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED AVAILABILITY. BCC DOES NOT WARRANT THAT THE SITE IS FREE OF VIRUSES, MALICIOUS CODE, OR OTHER HARMFUL COMPONENTS.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BCC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR ANY CONTENT ACCESSED THROUGH IT — INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM — EVEN IF BCC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BCC'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT, IF ANY, PAID BY YOU TO BCC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. INDEMNIFICATION

You agree to indemnify and hold BCC harmless from any claim, loss, or damage — including reasonable attorneys’ fees — arising from your use of the Site, your submissions, or your violation of these Terms.

8. THIRD-PARTY LINKS

The Site may contain hyperlinks to third-party websites provided solely as a convenience. BCC has no control over and makes no representation regarding the content, accuracy, privacy practices, or legality of any linked site. BCC is not responsible for any loss or damage arising from your access to or use of any linked site.

9. PRIVACY

Your use of the Site is also governed by BCC's Privacy Policy, available at blountcapital.com, the terms of which are incorporated herein by reference.

10. USER SUBMISSIONS

Any information, feedback, or material you submit to BCC through the Site is deemed non-confidential unless BCC separately agrees in writing. BCC may use, reproduce, and disclose any such submission for any lawful purpose without restriction or compensation, except to the extent BCC's Privacy Policy limits its use of personal information.

11. MODIFICATIONS

BCC reserves the right to modify these Terms or the Site — including its content, functionality, and availability — at any time without prior notice. The "Effective" date at the top of this page reflects the date of the most recent revision. Your continued use of the Site after any modification constitutes acceptance of the revised Terms.

12. GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Los Angeles County, California. You consent to personal jurisdiction in those courts.

13. SEVERABILITY

If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

14. ENTIRE AGREEMENT

These Terms, together with BCC's Privacy Policy and Website Disclaimer, constitute the entire agreement between you and BCC regarding your use of the Site and supersede all prior or contemporaneous understandings, representations, or agreements on that subject.
