Please read these Terms of Use ("Terms") carefully before using blountcapital.com (the "Site"), operated by Blount Capital Consulting LLC ("BCC," "we," or "our"). By accessing or using the Site, you agree to be bound by these Terms and BCC's Privacy Policy and Website Disclaimer, each incorporated herein by reference. The Site is made available for lawful, personal, non-commercial use to learn about BCC's advisoryservices. You may not use the Site in any manner that:

No license, right, or interest is granted to you, expressly or by implication, to use any BCC intellectual property. You may not reproduce, distribute, modify, publicly display, or create derivative works from any Site content without BCC's prior written permission.

3. No Client or Advisory Relationship
Your use of the Site does not create a consulting, advisory, or contractual relationship between you and BCC. BCC has no obligation to provide services to any party based solely on that party's use of or contact through the Site.

4. Disclaimer of Warranties
THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. 5. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BCC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANYDIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR ANY CONTENT ACCESSED THROUGH IT — INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM — EVEN IF BCC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BCC'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT, IF ANY, PAID BY YOU TO BCC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

The Site may contain hyperlinks to third-party websites provided solely as a convenience. BCC has no control over and makes no representation regarding the content, accuracy, privacypractices, or legality of any linked site. BCC is not responsible for any loss or damage arising fromyour access to or use of any linked site.

7. Privacy
Your use of the Site is also governed by BCC's Privacy Policy, available at blountcapital.com, theterms of which are incorporated herein by reference.

8. User Submissions
Any information, feedback, or material you submit to BCC through the Site is deemed nonconfidential unless BCC separately agrees in writing. BCC may use, reproduce, and disclose anysuch submission for any lawful purpose without restriction or compensation, except to the extent BCC's Privacy Policy limits its use of personal information.

10. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of law provisions. Any dispute arising out of or relating to these Terms or your use of the Site shallbe resolved exclusively in the state or federal courts located in Los Angeles County, California. You consent to personal jurisdiction in those courts.

11. Severability
If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect to the maximumextent permitted by law.

12. Entire Agreement
These Terms, together with BCC's Privacy Policy and Website Disclaimer, constitute the entire agreement between you and BCC regarding your use of the Site and supersede all prior or contemporaneous understandings, representations, or agreements on that subject.
